For brand experiences, creator events, corporate events, production & construction. Cosmic Park GmbH, Hamburg. Version: May 2026. This English translation is provided for convenience; only the German version is legally binding.
(1) These General Terms and Conditions (“Terms”) apply to all contracts between Cosmic Park GmbH, Lippmannstraße 22, 22769 Hamburg (“Cosmic Park”), and its clients (“Client”) for the conception, creation, planning, production, construction, rental and delivery of brand experiences, creator and influencer events, corporate events, trade fair and retail appearances, and related services.
(2) These Terms apply exclusively to entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law.
(3) Deviating, conflicting or supplementary terms of the Client only become part of the contract if Cosmic Park expressly agrees to their validity in text form. This also applies if Cosmic Park performs services without reservation in knowledge of such terms.
(4) If an agency commissions Cosmic Park on behalf of an end client, the agency alone is the contractual partner and owes the remuneration, unless expressly agreed otherwise.
(5) These Terms are incorporated by reference in the offer or order confirmation, stating their version. This version also applies to follow-up orders with the Client, unless Cosmic Park refers to a newer version when the contract is concluded.
(1) Offers from Cosmic Park are subject to change and, unless stated otherwise, valid for 30 days from the offer date. Cost estimates and budget frameworks are non-binding.
(2) A contract is concluded by countersigning the offer, by an order confirmation from Cosmic Park in text form, or by the start of performance at the Client’s request. An order in text form (e.g. by email) is sufficient.
(3) The scope of services is defined by the offer or order confirmation, including any attachments (briefing, concept, calculation, schedule). Individual agreements take precedence over these Terms.
(4) Offers may be divided into phases (e.g. creation & detailed planning, production, delivery). Each phase is commissioned and paid for separately; commissioning one phase does not oblige either party to commission the next.
(1) Cosmic Park performs the agreed services with the care of an experienced event and production agency. There is creative freedom within the agreed creative concept; deviations in material, colour or finish that are technically or production-related necessary and reasonable for the Client remain reserved.
(2) Cosmic Park is entitled to have services performed in whole or in part by carefully selected subcontractors, freelancers and service providers.
(3) The Client provides all information, materials, brand guidelines, logos, texts and approvals required for delivery in good time, completely and free of charge. The Client grants approvals within the deadlines agreed in the schedule, otherwise within three working days.
(4) If the Client’s cooperation is delayed, deadlines are postponed accordingly. The Client bears any resulting additional costs (e.g. express surcharges, storage, rebookings, waiting times).
(5) By approving designs, construction plans, samples or texts, the Client assumes responsibility for their accuracy, in particular for product, advertising and efficacy claims.
(6) Unless expressly assigned to Cosmic Park, the Client is the organiser in the legal sense and is responsible for permits, official requirements, house rules, safety obligations at the venue and registrations with collecting societies. If Cosmic Park concludes contracts with venues or service providers in its own name (§ 8), the Client’s responsibility for the above points remains unaffected.
(1) The Client confirms the binding number of guests in text form no later than 10 working days before the event. Without notification, the most recently agreed number is binding.
(2) At least the confirmed number of guests is invoiced, even if fewer people actually attend. If more people attend, the actual number is invoiced.
(3) Cosmic Park implements increases after the deadline as far as the venue and service providers allow; the Client bears any resulting surcharges. Reductions after the deadline count as partial cancellation under § 10, insofar as the affected services cannot be adjusted free of charge.
(4) Minimum purchases, minimum spends or quantity scales of venues and service providers stated in the offer also apply in relation to the Client.
(1) Concepts, ideas, designs, mood boards, 3D visualisations and presentations submitted by Cosmic Park before or without an order remain the intellectual property of Cosmic Park. Without an order, they may not be used, implemented, passed on to third parties or used as the basis for tenders, in whole or in part.
(2) If content from a presentation is exploited without commissioning Cosmic Park, the Client owes appropriate remuneration, at least in the amount of the customary fee for the concept work. Further claims remain unaffected.
(3) Pitch and presentation fees are agreed separately and are not credited against later orders, unless agreed otherwise.
(4) If no order is placed, the Client returns the documents handed over by Cosmic Park for the presentation on request and deletes digital versions. If the Client considers presented ideas to be already known to it, it notifies Cosmic Park in text form within 14 days of the presentation.
(1) Cosmic Park reviews change requests made by the Client after the order for feasibility, schedule and costs. Additional or reduced costs are communicated in text form before implementation (supplementary offer).
(2) Services beyond the agreed scope, in particular additional revision rounds (more than two per phase), additional appointments, additional quantities or changed build-up times, are invoiced separately based on effort at the agreed or customary rates.
(3) If changes are required to comply with official requirements, safety regulations or venue specifications, the Client bears the additional costs, unless Cosmic Park is responsible for the cause.
(1) All prices are net in euros plus statutory VAT. Travel, transport, accommodation and subsistence costs are invoiced at actual cost, unless included in the offer.
(2) Cosmic Park generally works with a down payment, which is a prerequisite for starting work. The amount and due date of the down payment and the further payment terms, in particular payment deadline and instalments, are agreed in the respective offer or order confirmation.
(3) The Client may only offset against undisputed or legally established claims or assert a right of retention on that basis.
(4) Statutory charges arising in connection with the order (e.g. artists’ social security levy, GEMA fees, levies on services of foreign artists) are shown and invoiced separately.
(1) Cosmic Park is entitled to commission the third-party services required to fulfil the order (e.g. venue, technology, catering, staff, transport, printing, talent and creators) in its own name and for the Client’s account, or in the Client’s name.
(2) The Client indemnifies Cosmic Park against liabilities arising from contracts concluded on its instructions or in its name.
(3) If a venue’s or service provider’s terms are stricter than these Terms, in particular cancellation, payment, house, noise protection and usage terms, they also apply to the service concerned in relation to the Client. This requires that Cosmic Park has pointed this out to the Client or made the terms available before the order or before commissioning the third-party service.
(4) The Client bears costs that Cosmic Park owes to third parties under such terms (e.g. cancellation fees, minimum spends, cleaning or damage flat rates), unless Cosmic Park is responsible for them arising.
(1) Dates and deadlines are only binding if expressly agreed as binding. They require the Client’s timely cooperation and receipt of agreed payments.
(2) Events of force majeure, such as severe weather, pandemics, official orders, strikes or war, release Cosmic Park from its obligation to perform for the duration of the disruption. The Client must pay for services already rendered and costs incurred that cannot be cancelled.
(3) If Cosmic Park is not supplied, or not supplied on time, by suppliers despite careful selection and timely, sufficient ordering, para. 2 applies accordingly (reservation of self-supply). Cosmic Park informs the Client immediately and endeavours to find an equivalent replacement. If a venue becomes unavailable for reasons Cosmic Park is not responsible for, para. 2 applies; if the Client booked or bindingly specified the venue itself, it bears this risk of cancellation.
(4) If the disruption lasts longer than four weeks or the event date is cancelled without replacement, both parties are entitled to withdraw from the unfulfilled part of the contract. The parties will primarily seek an alternative date.
(1) If the Client cancels an order in whole or in part for reasons Cosmic Park is not responsible for, the cancellation must be declared in text form. In this case, Cosmic Park may claim flat-rate compensation based on the net order value of the cancelled services. The decisive factor is when the cancellation is received, counted up to the first day of the event:
The flat rates take into account typically saved expenses and a typically possible alternative use of the services.
(2) Concept and creative services already commissioned must be paid in full; the flat rate under para. 1 is then calculated only on the remaining net order value. If third-party costs already incurred that cannot be cancelled and services already rendered exceed the flat rate, these are to be reimbursed instead.
(3) The Client remains free to prove that Cosmic Park suffered no damage or significantly less damage. Cosmic Park remains free to prove higher damage.
(4) For projects without an event date (e.g. pure construction or production orders), the agreed delivery date replaces the event date.
(5) If the Client removes individual service components entirely or reduces them significantly, this counts as a partial cancellation of the affected services under paras. 1 to 3.
(1) Cosmic Park may terminate the contract in whole or in part for good cause. Good cause exists in particular if
the Client remains in default with a payment due despite a seven-day grace period,
the Client, despite being notified, insists on content or services that violate laws, official requirements or safety regulations,
the Client fails to fulfil essential cooperation obligations despite a deadline being set, thereby jeopardising delivery.
(2) In the event of such termination, Cosmic Park retains its claim to remuneration for services rendered and costs incurred that cannot be cancelled. § 10 applies accordingly to services not rendered.
(1) Builds, decorations, modules, furniture and technology produced or provided by Cosmic Park are, unless a sale is expressly agreed, only made available to the Client for use for the agreed period and remain the property of Cosmic Park.
(2) Items sold remain the property of Cosmic Park until all claims arising from the order have been paid in full.
(3) From handover until return, the Client is liable for loss of and damage to the items provided, insofar as caused by the Client, its guests, participants or third parties it commissioned. Normal wear and tear from use in accordance with the contract is excluded.
(4) Cosmic Park recommends that the Client take out event liability insurance and exhibition insurance covering the items provided. On request, Cosmic Park can arrange such insurance for a separate fee.
(5) The Client ensures that build-up and breakdown are possible at the agreed times, that access routes, goods lifts and power are available, and that the items provided are ready for collection after the event. Waiting times and additional effort are invoiced separately.
(6) If the Client wishes builds to be stored or reused after the project ends, this is agreed separately. After setting a deadline, Cosmic Park may store or dispose of items of the Client that have not been collected at the Client’s expense.
(1) The maximum number of people present at the same time specified by the venue, permit or safety concept is binding. If Cosmic Park is commissioned with on-site delivery, the Client transfers house rights to Cosmic Park and the security staff deployed to the extent required to avert danger.
(2) Cosmic Park is entitled to limit or stop admission, to remove people from the event area and to interrupt or cancel programme items if there is a danger to life, health or significant property, or if official or venue requirements demand it.
(3) Measures under para. 2 do not affect Cosmic Park’s claim to remuneration. Cosmic Park is only liable for their consequences in the event of intent or gross negligence; § 16 para. 1 remains unaffected.
(4) The Client agrees public announcements of appearances by well-known creators, influencers or talent with Cosmic Park in advance in text form, so that access and security measures (e.g. tickets, time slots, caps) can be adjusted.
(1) Work services must be accepted after completion. Acceptance is deemed to have taken place when the Client puts the service into use, in particular when the event begins or opens to guests, or does not refuse acceptance within five working days of notice of completion, stating material defects.
(2) Obvious defects must be reported in text form immediately, at the latest upon handover on site, so that Cosmic Park can rectify them before the event begins. § 377 of the German Commercial Code (HGB) remains unaffected.
(3) For events, acceptance usually takes place during a dress rehearsal or test run; an acceptance appointment shortly before the event begins is permissible. Pure planning services are deemed provided for acceptance upon receipt by the Client.
(1) In the event of defects, Cosmic Park initially provides subsequent performance at its own discretion by rectification or new production. If subsequent performance fails, the Client may reduce the price or withdraw from the contract in accordance with statutory provisions.
(2) For time-bound services (e.g. running an event), subsequent performance is limited to the duration of the event.
(3) Handcrafted characteristics of individually made builds, minor deviations in colour, texture and dimensions, and normal signs of use on rental items do not constitute a defect.
(4) Claims for defects become time-barred twelve months after acceptance. This does not apply to claims based on intent, gross negligence, injury to life, body or health, under the Product Liability Act or in the case of fraudulent concealment of a defect.
(1) Cosmic Park is liable without limitation for intent and gross negligence, for injury to life, body or health, under the Product Liability Act and to the extent of any guarantee assumed.
(2) In the event of a slightly negligent breach of essential contractual obligations, i.e. those whose fulfilment makes proper performance of the contract possible in the first place and on whose compliance the Client may regularly rely, liability is limited to the foreseeable damage typical for the contract. Otherwise, liability for slight negligence is excluded.
(3) Cosmic Park maintains business liability insurance for personal injury and property damage and provides proof of it on request.
(4) The above limitations also apply in favour of Cosmic Park’s employees, representatives, subcontractors and vicarious agents.
(5) Cosmic Park is not liable for content, materials, products and statements provided or approved by the Client, nor for the conduct of guests, participants or third parties commissioned by the Client.
(1) For copyright-protected work created specifically for the Client, Cosmic Park grants the Client the simple rights of use required for the agreed purpose, limited in time, territory and content to the scope stated in the offer. If there is no such provision, the rights are limited to use for the specific project and its project-related communication.
(2) The rights of use only transfer once the remuneration has been paid in full. Any further use, editing, transfer to third parties or reuse for other projects requires prior consent and is subject to separate remuneration.
(3) Open working files, construction and production data and raw material are only owed if expressly agreed.
(4) Cosmic Park only acquires third-party rights (e.g. photographers, film production, music, artists, creators, models) to the agreed extent. Extensions (buy-outs) are offered separately.
(5) The Client guarantees that it holds the necessary rights to the content it provides and indemnifies Cosmic Park against third-party claims arising from its use.
(1) If Cosmic Park arranges or coordinates creators, influencers or talent, Cosmic Park owes careful selection, briefing and organisation, but not any specific advertising success, reach, engagement rate or sales.
(2) The Client is responsible for the legal admissibility of the advertising, product and efficacy claims to be communicated, in particular under the German Unfair Competition Act (UWG), the Healthcare Advertising Act (HWG) and food law. Cosmic Park informs creators of the obligation to label commercial content.
(3) If a creator drops out or cancels for reasons Cosmic Park is not responsible for, Cosmic Park is entitled to provide an equivalent replacement in consultation with the Client.
(1) Cosmic Park may only name the Client and, for agency orders, the end client as a reference, and present the project with photos, videos and a short description on its own website, on social media, in presentations, at awards and in the trade press, with the Client’s prior consent in text form.
(2) Agreed embargo periods (e.g. until the product launch) and confidentiality obligations are observed. Consent may be limited to certain channels, content or periods.
(3) Cosmic Park may only photograph and film the event with the Client’s prior consent in text form. Exempt are recordings of build-up and breakdown without guests, which serve exclusively for internal documentation and preservation of evidence and are not published. The notices and consents under § 21 remain the Client’s responsibility.
(1) Both parties treat all non-public information obtained in the course of the collaboration, in particular launch dates, product information, calculations, concepts and conditions, as confidential and use it only to carry out the order.
(2) This obligation does not apply to information that is or becomes publicly known through no fault of either party, or that must be disclosed due to legal obligations. It continues beyond the end of the contract.
Both parties comply with the applicable data protection regulations, in particular the GDPR. If Cosmic Park processes personal data on behalf of the Client (e.g. guest and participant lists, accreditations), the parties conclude a data processing agreement under Art. 28 GDPR. As the organiser, the Client ensures the necessary notices or consents for photo and video recordings of guests, unless agreed otherwise.
(1) Amendments and additions to the contract must be made in text form.
(2) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(3) The exclusive place of jurisdiction for all disputes arising from the contractual relationship is Hamburg, provided the Client is a merchant, a legal entity under public law or a special fund under public law. Cosmic Park is also entitled to sue the Client at its general place of jurisdiction.
(4) Should any provision of these Terms be wholly or partially invalid, the validity of the remaining provisions remains unaffected. The invalid provision is replaced by the statutory provision.
